CLUB MUSIC VAULT SUBSCRIPTION AGREEMENT

This Subscription Agreement (“Agreement”) constitutes a legally binding agreement between you, the Member, and Club Music Vault (“CMV”). Please carefully read this Agreement before using the Club Music Vault subscription service. By registering for the service, you are consenting to become a party to this Agreement and agreeing to be bound by the terms and conditions herein. If you do not accept and agree to all the terms and conditions of this Agreement, please do not continue the registration process.

1. ENROLLMENT IN THE SERVICE

Club Music Vault provides an Internet-based music service for accessing and purchasing exclusive music content curated by professional DJs. The service offers subscription or download credit plans, allowing users to access a catalog of exclusive music files in digital format. By subscribing to the service, you gain limited rights to download and listen to the music files available on the platform. To enroll, you must be at least 18 years of age and complete the registration process on the Club Music Vault website at clubmusicvault.com.

2. MODIFICATION

CMV reserves the right to modify any terms and conditions of this Agreement at any time at its sole discretion. Notification of such modifications will be provided via email where possible, and a change notice will be posted on the Club Music Vault website. If any modification is unacceptable to you, your only recourse is to terminate this Agreement. Your continued use of the service after the posting of a change notice or new agreement on the Club Music Vault website constitutes your binding acceptance of the change.

3. YOUR REGISTRATION OBLIGATIONS

You agree to provide accurate, current, and complete information about yourself during the registration process (“Registration Data”). Upon subscription, you will receive a password and an account. You are responsible for maintaining the confidentiality of your password and account and for all activities that occur under your account. Notify CMV immediately of any unauthorized use of your account or any breach of security. While CMV strives to ensure the privacy of your data and messages, complete privacy cannot be guaranteed.

4. CMV PRIVACY POLICY

CMV may occasionally release aggregate Registration Data about member trends to third parties in accordance with its Privacy Policy. Individual sales information will not be disclosed unless required by law. The Privacy Policy is available at clubmusicvault.com/privacypolicy and may be amended at CMV’s discretion.

5. TECHNOLOGICAL AND USE LIMITATIONS

CMV will make reasonable efforts to keep the Club Music Vault website operational. However, temporary service interruptions may occur due to technical difficulties or routine maintenance. CMV reserves the right to modify or discontinue functions of the service with or without notice. Users are prohibited from using automated systems for file selection or downloading. Violation of this limitation may result in immediate termination of access to the service.

6. TERM, FEES, AND PAYMENTS

By registering for the service, you agree to pay the applicable periodic rate charged in advance. Periodic fees will be charged to the payment method designated during the registration process or through authorized payment services. All fees and charges are non-refundable. CMV reserves the right to change fees and billing methods with notice. Your continued use of the service following billing changes constitutes acceptance of such changes.

7. TERMINATION

CMV may terminate your account or access to the service at its sole discretion if it believes you have violated this Agreement. You may terminate this Agreement and your subscription with 72 hours' notice through the Club Music Vault web application. No refunds will be issued for mid-cycle terminations. CMV may immediately deactivate or delete your account without prior notice upon termination.

8. INTELLECTUAL PROPERTY RIGHTS

The content available through the service is the property of CMV or its licensors and is protected by copyright laws. Content may be downloaded strictly for promotional use as a professional DJ. Users agree not to reproduce, distribute, or exploit content for commercial purposes without express consent. Users must promptly notify CMV of any unauthorized use or infringement.

9. FAIR USE NOTICE AND CONTENT DISCLAIMER

Club Music Vault is a promotional music distribution service intended for professional use. Users agree to use the service for promotional purposes only and not for personal music catalogs or databases. Copyrighted material may be used within the bounds of fair use. Violators of this policy risk suspension from the website.

10. DISCLAIMER OF WARRANTIES

The service is provided on an “as is” and “as available” basis. CMV does not make any representations or warranties regarding the service, website, or products offered. Users agree to use the service at their own risk.

11. LIMITATION OF LIABILITY

CMV will not be liable for indirect, special, or consequential damages arising from the use of the service. CMV’s aggregate liability will not exceed the total fees paid by the user under this Agreement.
